Terms of Service

1. Acceptance of Terms

The Toobie service is owned and operated by TwinBruhs LLC, a North Carolina limited liability company ("TwinBruhs LLC," "Toobie," "we," "us," or "our"). By installing the Toobie Chrome extension, creating an account, accessing the Toobie website (www.toobie.app), using the Toobie API, or otherwise using any part of the Toobie service and platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms are a binding agreement between you and TwinBruhs LLC. If you do not agree to these Terms, you must not install, access, or use the Service in any way.

You must be at least 13 years old to use this Service, or the age of digital consent in your jurisdiction, whichever is greater. For paid features (Toobie Pro subscription), you must be at least 18 years old or the age of majority in your jurisdiction. By using the Service, you represent and warrant that you meet these age requirements. If you are under 18, you confirm that you have parental or legal guardian consent to use the Service.

If you disagree with any part of these Terms at any time, you must immediately stop using the Service and uninstall the Toobie extension.

These Terms incorporate by reference the Toobie Privacy Policy, which describes how we collect, use, and protect your data. By accepting these Terms, you also accept the Privacy Policy.

2. Description of Service

Toobie is a Chrome extension that modifies YouTube's visual presentation and interface to provide a distraction-free viewing experience. The Service includes:

  • Free Tier Features: Distraction-free overlay (hides recommendations, shorts, and engagement-driven UI on YouTube home and search pages), light and dark theme options, timed focus sessions, notes on any video, and the ability to save and organize videos in your library with keyword search by title and channel name.
  • Toobie Pro Features: AI video processing and analysis (available via subscription at $4.99 USD per month or $39.99 USD per year, billed by Stripe), library-wide semantic search using natural language queries, the Ask feature for asking questions about the video you are watching, access to seven additional premium themes (Book, Forest, Mist, Peach, Day, Night, and Coffee), and automatic promo/sponsor segment detection and optional auto-skip functionality.
  • Core Features: Transcript extraction and segmentation, AI-powered section labeling and topic summarization using large language models (LLMs), search functionality across video sections, customizable theme selection.

The Service depends entirely on the availability, compatibility, and continued operation of YouTube and the YouTube Data API. Toobie is not responsible for any changes, limitations, or discontinuations of YouTube's platform or API.

The Service is provided on an "as is" basis. Features, functionality, pricing, and availability are subject to change at any time at Toobie's sole discretion. We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.

3. Account Registration & Security

To access certain features of the Service, you may need to create an account. You may authenticate via:

  • Google OAuth (using your Google account credentials)
  • Magic link email authentication (a one-time login link sent to your email address)

You agree to provide accurate, current, and complete information during registration and to update this information promptly if it changes. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Toobie immediately of any unauthorized access or use of your account.

You may maintain only one account per person. Creating multiple accounts to circumvent subscription requirements, evade suspensions, or violate these Terms is prohibited. You are responsible for all actions taken under your account, whether authorized or unauthorized.

Toobie reserves the right to suspend, deactivate, or terminate your account at any time, with or without notice, for any violation of these Terms, any illegal activity, or any other reason we deem appropriate. Upon termination, your right to use the Service immediately ceases.

4. Subscription Terms & Billing

Recurring Billing: Toobie Pro subscriptions are recurring subscriptions billed automatically by Stripe. Your subscription will renew automatically at the end of each billing period (monthly or yearly, depending on your chosen plan) unless you cancel before the renewal date.

Payment Method: You authorize Stripe to charge your credit card, debit card, or other payment method on file at the recurring interval you select. You remain responsible for all charges incurred under your account.

Pricing: Current pricing is as follows: $4.99 USD per month (monthly plan) or $39.99 USD per year (annual plan). Prices are subject to change with 30 days' written notice. Price increases apply only to renewals occurring after the notice period. We will notify you of price changes via email or in-product notification.

Cancellation & Refunds: You may cancel your subscription at any time by navigating to your account settings or contacting us at admin@toobie.app. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for cancellation mid-period. Upon cancellation, you will retain access to Toobie Pro features through the end of your billing period, after which your account will revert to the free tier.

Free Trial & Promotional Offers: Any free trial, free tier, or promotional offer is subject to limitations specified at the time of offer. Free trial access does not roll over if not used and expires at the end of the trial period. We reserve the right to modify or discontinue any trial or promotional offer.

Third-Party Payment Processing: Toobie uses Stripe for payment processing. By subscribing, you also agree to Stripe's Terms of Service and Privacy Policy. Stripe handles all credit card and payment information. Toobie does not store or have direct access to your payment credentials.

Billing Errors: If you believe you have been billed in error, you must contact us at admin@toobie.app within 30 days of the charge in question. Billing disputes received after 30 days may not be eligible for a refund. Toobie will investigate billing errors in good faith and issue corrections or refunds where appropriate.

Currency: All prices are quoted and charged in United States Dollars (USD). Currency conversion fees charged by your bank or payment provider are your responsibility.

5. Acceptable Use Policy

In using the Service, you agree NOT to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or internal structure of the Toobie extension, API, or website;
  • Scrape, crawl, or automatically extract data from the Service or use the Service to collect data for resale, redistribution, or competitive purposes;
  • Circumvent rate limits, access controls, or technical protection measures;
  • Share your account credentials with other users or allow others to access your account;
  • Use automated tools, bots, scripts, or other mechanisms to abuse, overload, or interfere with the Service;
  • Violate the YouTube Terms of Service, YouTube Community Guidelines, or any other third-party platform's terms;
  • Use the Service for any illegal purpose or to facilitate any illegal activity;
  • Attempt to gain unauthorized access to other users' accounts, data, or private information;
  • Interfere with, disrupt, or damage the infrastructure or normal operation of the Service;
  • Use the Service in any way that infringes on the intellectual property rights of Toobie, YouTube, or any third party;
  • Transmit malware, viruses, worms, or any other harmful code through the Service;
  • Harass, threaten, defame, or intimidate any other user or Toobie staff member.

Toobie may enforce violations of this Acceptable Use Policy in its sole discretion, including by: issuing warnings, suspending access, terminating your account, or pursuing legal action. Toobie cooperates with law enforcement and may disclose user information when legally required.

6. Intellectual Property Rights

Toobie IP: TwinBruhs LLC owns all intellectual property in the Toobie extension, Toobie website, Toobie API, Toobie service, all code, all design elements, all branding, all trademarks, logos, and all other original content created by Toobie. You are granted a non-exclusive, non-transferable, revocable license to use the Service solely for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, or publicly display any part of Toobie without explicit written permission.

AI-Generated Content: Toobie uses artificial intelligence (powered by large language models) to generate section labels, summaries, descriptions, and topic categorizations. These AI-generated elements are provided "as is" without any warranty of accuracy, completeness, or fitness for any purpose. Toobie makes no claim of ownership over the raw YouTube transcript text, but does own the specific labels, summaries, descriptions, and derived analyses generated by our AI. You may not use AI-generated content for commercial purposes or redistribute it outside of your personal use.

User Content: You retain all rights to any content you submit to Toobie (feedback, support requests, feature suggestions, etc.). By submitting such content, you grant Toobie a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and distribute that content for any purpose, including improving the Service.

Third-Party Content: YouTube transcripts and video content are the property of YouTube, Google LLC, and the respective video creators. Toobie does not claim ownership of any YouTube content. All references to YouTube, YouTube branding, and YouTube trademarks are the property of Google LLC. You must comply with YouTube's Terms of Service and respect the intellectual property rights of creators.

7. YouTube Disclaimer & Third-Party Services

Non-Affiliation with YouTube: Toobie is not affiliated with, endorsed by, approved by, or sponsored by YouTube, Google Inc., Google LLC, or any subsidiary or affiliate of Google. "YouTube" is a trademark of Google LLC. Toobie is an independent, third-party Chrome extension.

YouTube Terms of Service: By using Toobie, you acknowledge that you also use YouTube and that you agree to comply with YouTube's Terms of Service (available at https://www.youtube.com/t/terms). Any violation of YouTube's Terms while using Toobie may result in termination of your YouTube account and/or your Toobie account.

YouTube Data API: Toobie uses YouTube's official API Services (as defined by Google). Your use of the Toobie Service constitutes use of YouTube API Services, and you are bound by Google's API Terms of Service (https://www.youtube.com/t/terms) and Google's Privacy Policy (https://policies.google.com/privacy). Toobie is subject to YouTube API Services' usage quotas and rate limits, which may affect the availability and speed of the Service.

Third-Party Services: Toobie relies on third-party services, including:

  • Stripe: For payment processing. Stripe's Terms of Service (https://stripe.com/legal) and Privacy Policy (https://stripe.com/privacy) apply.
  • Google Authentication: For OAuth-based account creation and sign-in. Google's Privacy Policy and terms apply.
  • Large Language Models (Google Gemini, OpenAI, Anthropic): For AI section labeling, summarization, and promo detection. These services have their own terms and privacy policies.
  • Jina AI: For generating the vector embeddings that power semantic search. Jina's terms and privacy policy apply.

Service Dependencies & Availability: Toobie's functionality depends on the continued availability and compatibility of YouTube, the YouTube Data API, and other third-party services. YouTube may change its platform, API, interface, or policies at any time. YouTube may rate-limit, restrict, or discontinue API access. Google may change its authentication mechanisms. Stripe may change its payment processing terms. Toobie has no control over these third-party services and is not responsible for any outages, changes, or disruptions they may cause.

No Guarantee of Compatibility: Toobie cannot guarantee that it will remain compatible with current or future versions of YouTube, Google Chrome, or any other platform or service. YouTube may release updates that break Toobie functionality. Toobie will attempt to update the extension to maintain compatibility, but we make no guarantee of timely fixes or updates.

8. Disclaimers & Warranty Limitations

DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TOOBIE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE;
  • ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • ANY WARRANTY THAT DEFECTS IN THE SERVICE WILL BE CORRECTED;
  • ANY WARRANTY OF NON-INFRINGEMENT OR THAT THE SERVICE DOES NOT VIOLATE ANY THIRD-PARTY RIGHTS.

NO WARRANTY OF ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT: The AI-powered features of Toobie (section labeling, summarization, promo detection, semantic search) are generated by large language models and are not guaranteed to be accurate, complete, or correct. AI-generated content may:

  • Contain factual errors or misinterpretations;
  • Miss important sections or topics;
  • Generate misleading or incomplete summaries;
  • Incorrectly classify content as promotional when it is not, or miss actual promotional content;
  • Produce irrelevant or nonsensical results for semantic searches;
  • Change between different processing runs for the same video.

YOU SHOULD NOT RELY ON AI-GENERATED CONTENT FROM TOOBIE FOR CRITICAL DECISIONS, ACADEMIC WORK, OR ANY PURPOSE REQUIRING GUARANTEED ACCURACY. YOU SHOULD ALWAYS VERIFY AI-GENERATED INFORMATION BY WATCHING THE VIDEO YOURSELF.

NO WARRANTY OF SERVICE AVAILABILITY: Toobie makes no guarantee that the Service will be available at all times, 24/7, or without interruptions. Toobie may experience downtime due to maintenance, updates, server failures, or any other reason. The Service may be unavailable in certain jurisdictions or for certain users.

NO WARRANTY OF FUTURE COMPATIBILITY: Toobie does not warrant that the Service will remain compatible with YouTube, Google Chrome, your operating system, or any future version of these third-party platforms.

NO WARRANTY REGARDING THIRD-PARTY SERVICES: Toobie does not warrant the functionality, availability, or reliability of YouTube, Google, Stripe, its AI or infrastructure providers, or any other third-party service that Toobie depends on.

LIMITATION OF WARRANTY PERIOD: Any implied warranty, condition, or guarantee is limited to 30 days from installation of the extension or registration of your account, whichever is applicable.

ASSUMPTION OF RISK: YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH USING THE SERVICE, INCLUDING BUT NOT LIMITED TO: (A) TOOBIE MODIFIES YOUTUBE'S VISUAL INTERFACE THROUGH DOM MANIPULATION, WHICH MAY CAUSE UNEXPECTED BEHAVIOR, DISPLAY ERRORS, OR FUNCTIONALITY LOSS ON YOUTUBE PAGES; (B) AI-GENERATED CONTENT (SECTION LABELS, SUMMARIES, PROMO DETECTION) IS PRODUCED BY THIRD-PARTY LARGE LANGUAGE MODELS AND MAY BE INACCURATE, INCOMPLETE, OR MISLEADING; (C) AUTOMATIC PROMO/SPONSOR DETECTION AND SKIPPING MAY INCORRECTLY IDENTIFY CONTENT SEGMENTS, CAUSING YOU TO MISS NON-PROMOTIONAL CONTENT OR FAIL TO SKIP PROMOTIONAL CONTENT; (D) YOUTUBE MAY UPDATE ITS PLATFORM IN WAYS THAT BREAK TOOBIE'S FUNCTIONALITY WITHOUT WARNING; AND (E) YOUR USE OF THE SERVICE MAY AFFECT YOUR YOUTUBE EXPERIENCE IN UNINTENDED WAYS. YOU ASSUME FULL RESPONSIBILITY FOR YOUR DECISION TO USE THE SERVICE AND FOR ANY CONSEQUENCES THAT RESULT FROM SUCH USE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TWINBRUHS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your use or inability to use the Service;
  • Any changes made to the Service or any temporary or permanent cessation of the Service;
  • Unauthorized access to or alteration of your transmissions or data;
  • Statements or conduct of any third party on the Service;
  • Any other matter relating to the Service;
  • Loss of data, videos, transcripts, or access to YouTube content;
  • Incorrect or inaccurate AI-generated content;
  • Failure of the Service to skip or identify promotional content;
  • Changes to YouTube's platform or API;
  • Suspension or termination of your account or the Service;
  • Billing or payment disputes;
  • Any failure or delay in the Service due to causes beyond Toobie's control.

MAXIMUM LIABILITY: TOOBIE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO TOOBIE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50 USD).

APPLIES REGARDLESS OF THEORY: This limitation applies regardless of whether the claim arises under contract, tort, negligence, strict liability, breach of warranty, or any other legal theory, and even if Toobie has been advised of the possibility of such damages.

JURISDICTIONAL EXCEPTIONS: Some jurisdictions do not allow the exclusion or limitation of incidental, consequential, or other types of damages. In such jurisdictions, the above limitation shall be applied to the minimum extent permitted by law. If the limitation of liability is found to be unenforceable in your jurisdiction, Toobie's liability shall be limited to the amount permitted by law.

NO LIABILITY FOR THIRD PARTIES: Toobie is not liable for any loss, damage, or claim arising from the failure, unavailability, or malfunction of YouTube, Google, Stripe, its AI or infrastructure providers, or any other third-party service or platform that Toobie depends on.

10. Indemnification

You agree to indemnify, defend, and hold harmless TwinBruhs LLC and its members, managers, officers, employees, agents, licensors, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service or violation of these Terms;
  • Your violation of any law, regulation, or third-party right;
  • Your violation of YouTube's Terms of Service or any other third-party platform's terms;
  • Any content you submit, upload, or transmit through the Service;
  • Your infringement or misappropriation of any intellectual property right;
  • Any claim that your use of the Service harms or infringes the rights of a third party.

If Toobie is sued or faced with a claim arising from any of the above, Toobie will notify you of the claim and will reasonably cooperate with you in the defense at your expense. You agree to pay all costs and expenses related to your indemnification obligations, including settlements and judgments, as directed by Toobie.

11. Dispute Resolution & Arbitration

BINDING ARBITRATION: EXCEPT AS PROVIDED BELOW, YOU AND TOOBIE AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES.

The arbitration shall be conducted on an individual basis, not as a class action, class arbitration, or representative action. Each party shall bear its own attorney's fees and costs, unless the arbitrator awards such fees and costs to a prevailing party.

SUBSTITUTE ARBITRATION PROVIDER: The parties' agreement to arbitrate is not contingent on the availability of any particular arbitration provider. If the AAA is unavailable or unwilling to administer arbitrations consistent with this agreement, another arbitration provider shall be selected by the parties that will administer arbitrations consistent with this arbitration agreement. If the parties cannot agree on a provider, either party may petition a court of competent jurisdiction to appoint a substitute arbitrator or arbitration provider pursuant to Section 5 of the Federal Arbitration Act (9 U.S.C. § 5).

CLASS ACTION WAIVER: BY AGREEING TO ARBITRATION, YOU WAIVE THE RIGHT TO SUE IN COURT AND TO HAVE A JURY TRIAL. YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. TOOBIE AND YOU SHALL EACH ARBITRATE CLAIMS INDIVIDUALLY AND NOT AS A PARTY TO ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

ARBITRATION OPT-OUT: You may opt out of the arbitration agreement by sending written notice to Toobie within 30 days of first accepting these Terms. The notice must be sent via email to admin@toobie.app with the subject line "ARBITRATION OPT-OUT" and must include your name, email address, and a clear statement that you wish to opt out. If you opt out, all other Terms remain in effect, but the arbitration agreement does not apply to you.

SMALL CLAIMS COURT EXCEPTION: Notwithstanding the above, if you have a claim for less than $10,000 USD, you may bring the claim in small claims court in the State of North Carolina instead of arbitration.

GOVERNING LAW: These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

EXCLUSIVE JURISDICTION: If the arbitration clause is found to be unenforceable, you and Toobie consent to the exclusive jurisdiction of the federal and state courts located in North Carolina for the resolution of all disputes. You irrevocably submit to the jurisdiction of these courts and agree not to raise any objection to venue or inconvenient forum.

12. Termination

User Termination: You may terminate your account and your use of the Service at any time by uninstalling the Toobie extension from Chrome and requesting deletion of your account by emailing admin@toobie.app. Upon termination, your right to use the Service immediately ceases. Termination does not relieve you of any payment obligations for charges incurred prior to termination.

Toobie Termination: Toobie may terminate or suspend your account and your access to the Service at any time, immediately and without notice, for any reason, including:

  • Violation of these Terms;
  • Violation of YouTube's Terms or any applicable law;
  • Fraudulent activity or suspected fraudulent activity;
  • Abuse of the Service or other users;
  • Non-payment of subscription fees;
  • Suspected security breach or unauthorized access;
  • Any other reason at Toobie's sole discretion.

Discontinuation of Service: Toobie may discontinue, modify, or permanently shut down the Service in whole or in part at any time, with or without cause. If Toobie discontinues the Service, Toobie will provide 30 days' written notice to users via email or in-product notification, except in cases of emergency or unforeseen circumstances. Upon discontinuation, all active subscriptions will be cancelled and pro-rated refunds will be issued for the unused portion of any pre-paid subscription period, calculated from the date of discontinuation to the end of the current billing cycle.

Surviving Obligations: The following sections shall survive any termination: 4 (Subscription Terms, as to accrued obligations), 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Dispute Resolution), 14 (Miscellaneous), 15 (Contact Information), and any other provision that by its nature is intended to survive termination.

13. Modifications to Terms

Toobie may update, amend, or modify these Terms at any time without prior notice. Your continued use of the Service following any changes constitutes your acceptance of the modified Terms. If you do not agree with any changes, you must immediately stop using the Service and uninstall the extension.

For material changes to these Terms, Toobie will provide notice via:

  • Email notification to the address associated with your account;
  • A notice posted on the Toobie website;
  • An in-product notification within the extension.

Material changes typically include modifications to pricing, billing, privacy practices, or core service features. We will provide at least 30 days' notice for material changes affecting paid subscribers.

14. Miscellaneous

Entire Agreement: These Terms, together with any other policies or terms posted on the Toobie website or within the extension (including the Privacy Policy), constitute the entire agreement between you and Toobie regarding the Service and supersede all prior or contemporaneous agreements, understandings, and negotiations, whether written or oral.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

No Waiver: The failure of Toobie to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Toobie.

Assignment: Toobie may assign, transfer, or sublicense these Terms and your account at any time without notice or consent. You may not assign or transfer these Terms or your account to any third party without Toobie's prior written consent. Any unauthorized assignment is void.

Force Majeure: Toobie shall not be liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemics, government action, or Internet infrastructure failures. In such circumstances, Toobie shall make reasonable efforts to resume performance.

Headings: The section headings in these Terms are for convenience only and do not affect the meaning or interpretation of the Terms.

Notices to Toobie: Any legal notices, demands, or communications to TwinBruhs LLC must be sent via email to admin@toobie.app with the subject line "LEGAL NOTICE" and delivered in writing. Formal service of process may be made on TwinBruhs LLC's registered agent on file with the North Carolina Secretary of State.

Notices to You: Toobie may provide notices and communications to you via email at the address associated with your account or via in-product notification. Notices are effective upon sending.

Independent Contractor: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Toobie. You are an independent user, not an agent of Toobie.

Export Compliance: The Service is controlled and operated from the United States. You may not use, export, or re-export the Service in violation of any applicable U.S. or international export control laws or regulations, including the U.S. Export Administration Regulations, sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC), or similar laws of other jurisdictions.
